(“BigCommerce”) (Nasdaq: BIGC), a leading Open SaaS ecommerce platform for fast-growing and established brands, today announced financial results for its second quarter ended June 30, 2021.

Second Quarter Financial Highlights:Total revenue was $49.0 million, up 35% compared to the second quarter of 2020.
- Total annual revenue run-rate (ARR) as of June 30, 2021 was $209.3 million, up 38% compared to June 30, 2020.
- Subscription revenue was $34.0 million, up 42% compared to the second quarter of 2020.
- ARR from accounts with at least one enterprise plan (“Enterprise Accounts”) was $122.7 million as of June 30, 2021, up 54% from June 30, 2020.

- Corporate Highlights: Subsequent to Q2, BigCommerce announced the acquisition of data feed management platform Feedonomics, which is currently being used by nearly 30% of the top 1,000 internet retailers. This is the Company’s first acquisition as a public entity. Together, BigCommerce and Feedonomics are making it even easier for merchants to increase cross-channel product sales and are giving BigCommerce merchants access to 100+ global marketplace and advertising channels, driving further brand visibility, order volume and conversion where their customers shop.
- Product Highlights: BigCommerce remains committed to building the best Open SaaS ecommerce platform in the world and, to that end, announced a number of new product enhancements over the last quarter. The Company launched Big Open Data Solutions, a collection of native and best-of-breed data solutions that empower merchants with tools to support data-driven decisions and actionable insights. B2B Edition, which expands B2B platform capabilities through a package with BundleB2B, gives B2B merchants the ability to provide B2C-like customer site experience or run operations for B2B and B2C audiences on a single platform. Finally, a new integration with Facebook’s Conversion API creates improved merchant insights on Facebook and Instagram ad campaigns.

- Partner Highlights: During the second quarter, the Company announced several key strategic partnerships that further enhance its Open SaaS platform and expand the capabilities in its technology ecosystem. In Australia, BigCommerce partnered with the Commonwealth Bank of Australia to give its customers easy access to a scalable ecommerce platform and AustraliaPost to streamline shipping for BigCommerce’s Australian merchants. The Company also enabled its first move into crypto payments through a partnership with Open Node, integrated Checkout.com as a new alternative payment option, and added Avasam and Qapla as new shipping and fulfillment partners. Additionally, in July, the Company announced a native integration with Amazon Multi-Channel Fulfillment (MCF) to give US merchants an easier way to fulfill orders using Amazon’s fulfillment platform, and a partnership with Mercado Libre to give BigCommerce merchants the ability to sell across Latin America to nearly 133 million unique consumers on Mercado Libre’s Marketplace.
Q3 and 2021 Financial Outlook:
For the third quarter of 2021, the Company currently expects:
- Total revenue between $54.5 million and $55.0 million, translating into a year-over-year growth rate of 37% and 38%.
- Non-GAAP operating loss between ($9.5) million and ($10.5) million.
For the full year 2021, the Company currently expects:
- Total revenue between $210.7 million and $211.7 million, translating into a year-over-year growth rate of 38% and 39%.
- Non-GAAP operating loss between ($30.3) million and ($32.3) million.

Annual Revenue Run-Rate
We calculate annual revenue run-rate (“ARR”) at the end of each month as the sum of: (1) contractual monthly recurring revenue at the end of the period, which includes platform subscription fees, invoiced growth adjustments, recurring professional services revenue, and other recurring revenue, multiplied by twelve to prospectively annualize recurring revenue, and (2) the sum of the trailing twelve-month non-recurring and variable revenue, which includes one-time partner integrations, one-time fees, payments revenue share, and any other revenue that is non-recurring and variable.
Accounts with Greater than $2,000 ACV
We track the total number of accounts with annual contract value (“ACV”) greater than $2,000 (the “ACV threshold”) as of the end of a monthly billing period. To define this $2,000 ACV cohort, we include only subscription plan revenue and exclude partner and services revenue and recurring services revenue. We consider all stores added and subtracted as of the end of the monthly billing period. This metric includes accounts that may have either one single store above the ACV threshold or multiple stores that together exceed the ACV threshold. Accordingly, this cohort would include: (1) customers on Enterprise plans, (2) customers on Pro plans, and (3) customers with multiple plans that together exceed the ACV threshold.
Average Revenue Per Account
We calculate average revenue per account (ARPA) for accounts above the ACV threshold at the end of a period by including customer-billed revenue and an allocation of partner and services revenue.
Adjusted EBITDA
We define Adjusted EBITDA as our net loss, excluding the impact of stock-based compensation expense and related payroll tax expense, third party acquisition-related costs, and other acquisition related expenses, including contingent consideration arrangements entered into in connection with acquisitions, depreciation and amortization expense, interest income, interest expense, changes in fair value of financial instruments, and our provision for income taxes.
